Rising Star Multimedia LLC Terms and Conditions

This Agreement is made between the (Client Registrant), and Rising Star Multimedia LLC having their principal place of business at 901 Occidental AVE. S. Seattle WA. 98134. In consideration of (Client Registrant) retaining Rising Star Multi Media LLC to conduct an independent service for (Client Registrant) It is agreed as follows;

Compensation and Terms:

(Client Registrant) hereby retains Rising Star Multimedia LLC and Rising Star Multimedia LLC hereby agrees to perform the following services:

Rising Star Multimedia LLC will perform the following jobs:

Complete design of Company Website in the theme and navigational setup specified by the (Client Registrant).

As well as the sub-sections found therein.

(Client Registrant) will provide the following:

All images, graphics, and logos to be used in the (Client Registrant) Company Website

All text to be used in (Client Registrant) Company Website

Detailed description of navigational systems and themes to be used throughout the design of the (Client Registrant) Company Website

Time Detail:

Rising Star Multimedia LLC will begin the development of the (Client Registrant) Company Website upon the completion of this contract, and having received the initial agreed set up fee, as well as the necessary content to begin the website development.

Rising Star Multimedia LLC reserves sixty business days to complete the project from the date of having received the necessary content from the(Client Registrant).

Rising Star Multimedia LLC will not be held responsible for production delays resulting from a lack of content, images, and navigational systems provided by the (Client Registrant).

Confidentiality:

This Agreement creates a confidential relationship between the (Client Registrant) and Rising Star Multimedia LLC. Information concerning (Client Registrants) and/or Rising Star Multimedia LLC’s business affairs, vendors, finances, properties, methods of operation, computer programs, employees, documentation, and other such information whether written, oral, or otherwise, is confidential in nature. (Client Registrant), Rising Star Multimedia LLC and employees of both will adhere fully to this confidentiality agreement.

Governing law:

Any action, proceeding, dispute, claim or controversy arising out of or relating to Rising Star MultiMedia LLC Web site, or these Terms and Conditions, or any Rising Star MultiMedia LLC products or Rising Star MultiMedia LLC services offered on or accessed via Rising Star MultiMedia LLC Web site, shall (i) be governed by Washington State law and controlling U.S. federal law, without application of any choice of law rules and (ii) be subject to the exclusive jurisdiction of the courts of the State of Washington located in King County or of the United States District Court of Washington , and you hereby submit to the jurisdiction of said courts.

Entire agreement:

This agreement represents the full understanding between the parties and there is no other agreement, oral or written, between them, and that this agreement may not be modified without an agreement in writing signed by the party to be charged. This contract is in effect until written notification of termination from either party.

Notices:

All notices or other documents under this agreement shall be in writing and delivered via e-mail or fax received, or mailed by certified mail, postage prepaid, addressed to the (Client Registrant) and Rising Star Multimedia LLC at their last known addresses.

Single Points of Contact:

(Client Registrant) single point of contact will be Rising Star Multimedia’s Help Desk 1-877-235-6882. All correspondence concerning the project will be handled between the assigned account specialist and the (Client Registrant). All correspondence sent from other employee’s of the companies will be ignored and forwarded to the respective single point of contact.

In the event that either the assigned account specialist are no longer with their respective company’s a new single point of contact will be assigned in writing via e-mail immediately.

Non-Competition:

Both (Client Registrant) and Rising Star Multimedia LLC agree to non-competition regarding their respective customers. Neither company will attempt to take any customers from the other company for any reason whatsoever. Any client information will be kept confidential between the companies and will be used for the sole purpose of performing the contractual services as herein defined in this document.

Source Files and Copyrights:

The (Client Registrant) will retain all source files including their copyrights. No royalty fees will need to be paid to Rising Star Multimedia LLC for their use. Agreement Timeout (Client Registrant) is responsible for supplying all needed content to Rising Star Multimedia LLC no later than five business days after the initial registration. If (Client Registrant) fails to provide the needed content to Rising Star Multimedia LLC, (Client Registrant) will null and void the contract in its entirety, as well as null and void any refund on the initial set up fee associated with the (Client Registrant) account.

Complete Agreement:

Changes to the Terms and Conditions. These Terms and Conditions represent the entire understanding relating to the use of Rising Star MultiMedia LLC services and prevail over any prior or contemporaneous, conflicting or additional, communications. Rising Star MultiMedia LLC shall have the right to revise and modify the Terms and Conditions at any time by posting the revised Terms and Conditions on Rising Star MultiMedia LLC Web site. Any use of Rising Star MultiMedia LLC services after such posting shall be deemed to constitute acceptance of the revised Terms and Conditions by the user.

Trademarks:

Rising Star MultiMedia LLC, the Rising Star MultiMedia LLC logo, and Rising Star MultiMedia LLC are registered trademarks or service marks of Rising Star MultiMedia LLC. All other products, company names or other marks appearing on this Site are the trademarks of their respective owners. Nothing contained in the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on Rising Star MultiMedia LLC Web site without prior written permission of Rising Star MultiMedia LLC or other trademark owners.

Indemnification:

You agree to defend, indemnify, and hold harmless Rising Star MultiMedia LLC, its officers, directors, employees, members, agents and affiliates from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your breach of the Terms and Conditions. Rising Star MultiMedia LLC shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.

Termination:

Rising Star MultiMedia LLC may terminate this agreement at any time. Upon termination, you agree to cease all use of Rising Star MultiMedia LLC Web site. Without limiting the foregoing, Rising Star MultiMedia LLC shall have the right to immediately terminate your access and use of Rising Star MultiMedia LLC Web site, or any portion of the Site, in the event of any conduct by you or through your account which Rising Star MultiMedia LLC, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of the Terms and Conditions.

Cancellations:

All cancellations or refund requests must be in written form and sent via e mail to our offices no later than three business days after initial registration. Any cancellations that fall outside of the three day return policy will not receive a refund on their cancellation, furthermore user or users will be bound to the terms and conditions set forth in this user agreement. It takes time to create a website that will deliver the results you have been looking for. With Rising Star MultiMedia LLC we give ourselves sixty business days to concur all of the data basing, and graphic design before we can publish the site to the World Wide Web.

By entering in to this contract with Rising Star Multimedia LLC (Client Registrant) agrees to all of the terms and conditions set forth in this document. (Client Registrant) also agrees to the set up fee associated to the services that are to be garnished from Rising Star Multimedia LLC.
